SECTION 1 – COPYRIGHT AND USAGE RIGHTS
(a) Copyright Retention:
The entire copyright in all videos, footage, and associated materials remains the sole property of Compass Video at all times, unless explicitly agreed otherwise in writing.
(b) Moral Rights:
Compass Video asserts its moral rights to be credited as the original author of all work and to ensure that its work is not edited, altered, or used in a manner that could damage its reputation.
(c) Unseen Copyright Protection:
A visible copyright notice is not required unless explicitly agreed. However, Compass Video retains full copyright protection as outlined in this Agreement.
(d) Usage Rights:
Upon full payment of all project fees, the Client is granted a non-exclusive, non-transferable, perpetual licence to use the final deliverables for the Client’s own business marketing and promotional purposes.
This includes, but is not limited to, publication and display on the Client’s social media channels, website, email campaigns, digital advertising, and in-venue screens.
The licence does not permit the Client to:
Sell, license, or otherwise distribute the deliverables to any third party.
Transfer or assign the rights to another person or entity.
Alter, re-edit, or create derivative works from the deliverables beyond minor format or length adaptations necessary for the permitted uses.
Use the deliverables in a manner that could harm the reputation of Compass Video.
The licence is granted automatically upon full payment of all project fees and remains valid indefinitely within Australia.
Any additional usage outside these terms (including broadcast, theatrical, or international campaigns) requires prior written approval from Compass Video and may incur additional fees.
(e) Exclusivity:
Usage rights are granted on a non-exclusive basis. If the Client requires exclusive usage rights, this must be negotiated separately and will incur additional fees.
(f) Duration and Territory:
If no timeframe or geographic region is specified, usage rights are granted indefinitely within Australia only.
Additional usage outside this scope will require a separate agreement.
(g) Prohibited Use:
The Client may not resell, license, or distribute videos to third parties, nor use them in a way that misrepresents Compass Video’s work.
SECTION 2 – PAYMENT TERMS
(a) Payment Structure:
All Scroll Stoppers projects require full payment upfront to confirm the booking.
The total project fee is due in full upon quote and contract signoff to secure the production date and resources.
Subscription or retainer clients with an agreed payment schedule are the only exception.
(b) Booking Confirmation:
A booking is not confirmed until full payment has been received.
Once payment is made, the project date will be locked in.
(c) Late Payments:
If a scheduled subscription payment is not received by the due date, a late fee of 5% of the outstanding balance will apply for every 7 days overdue.
Compass Video reserves the right to pause production or withhold delivery of final deliverables until all outstanding payments have been made.
In the event of prolonged non-payment (over 28 days), Compass Video may engage a debt collection agency, and the Client will be responsible for all associated costs.
(d) Non-Refundable Payments:
Payments made are non-refundable except in cases of cancellation by Compass Video under Section 3(f).
If the Client cancels the project, payments will be retained in accordance with Section 3(a) and (b).
(e) Payment Methods:
All payments are processed via Stripe or PayPal only.
Additional processing or transaction fees may apply and are the responsibility of the Client.
(f) Currency:
All prices are listed in AUD (Australian Dollars) and include GST where applicable.
SECTION 3 – CANCELLATIONS AND RESCHEDULING
(a) Cancellation by Client:
If the Client cancels the project, the following fees will apply:
More than 14 days before the shoot date: No cancellation fee; however, the Client will reimburse Compass Video for any non-refundable expenses incurred (e.g., third-party costs, travel, accommodation).
3–14 days before the shoot date: 50% of the total project fee will be retained, plus reimbursement of non-refundable expenses.
Less than 3 days before the shoot date: 100% of the total project fee will be retained, plus reimbursement of non-refundable expenses.
(b) Rescheduling by Client:
If the Client requests to reschedule the project, Compass Video will make reasonable efforts to accommodate the new date.
More than 7 days before the shoot date: No rescheduling fee will apply.
3–7 days before the shoot date: A rescheduling fee of 10% of the total project fee will apply.
Less than 3 days before the shoot date: A rescheduling fee of 25% of the total project fee will apply.
All rescheduling is subject to Compass Video availability and may require adjustments to the project timeline.
Any non-refundable third-party costs (such as crew, location, or travel expenses) remain payable by the Client.
(c) Third-Party Costs:
The Client remains liable for all third-party costs incurred by Compass Video including (but not limited to) contractor fees, travel, accommodation, and equipment hire.
(d) Force Majeure:
If cancellation or rescheduling is caused by a Force Majeure event, cancellation or rescheduling fees may not apply.
Non-refundable third-party expenses remain payable by the Client.
(e) Weather Conditions:
If adverse weather conditions (such as heavy rain, strong winds, or unsafe environmental factors) prevent filming from proceeding safely or as planned, Compass Video will determine whether the shoot can continue, be modified, or rescheduled.
If the shoot is postponed due to weather:
Where possible, Compass Video will offer to reschedule to the next available date without applying cancellation fees.
If the Client elects to cancel rather than reschedule, the standard cancellation terms in Section 3(a) will apply.
Any non-refundable third-party expenses (such as crew, talent, or location bookings) remain payable by the Client.
If filming proceeds under marginal conditions at the Client’s request, Compass Video accepts no liability for compromised footage quality, equipment risk, or delays resulting from those conditions.
SECTION 4 – DELIVERY
(a) First Draft:
Compass Video will aim to deliver the first draft within 10 business days of the shoot date, unless otherwise agreed in writing.
Delivery timelines may vary depending on project scope.
(b) Revisions:
The Client is entitled to one round of revisions.
Revisions will be completed within approximately 5 business days of receiving consolidated feedback through Frame.io.
Additional revisions will incur extra editing fees and timeline extensions.
(c) Final Deliverables:
Final deliverables will typically be provided within 1 business day of Client approval, provided all invoices have been paid in full.
Compass Video cannot guarantee same-day delivery in cases of extended render times or unforeseen delays.
(d) Raw Footage Delivery:
Raw footage is not available for purchase under the Scroll Stoppers offer.
If otherwise agreed in writing for a different project, Compass Video will aim to deliver raw footage within 1 business day of request, subject to file size and transfer limitations.
(e) File Transfer:
Deliverables will be shared via Frame.io for review and approval.
Approved files will be made available for download for 30 days from the date of delivery unless otherwise agreed in writing.
The Client is responsible for downloading and backing up all deliverables within this timeframe.
(f) Delivery Scope:
Deliverables will be provided in the agreed aspect ratio(s), resolution(s), and duration(s).
Requests for additional versions or formats beyond the project scope will incur additional editing fees.
SECTION 5 – CLIENT RESPONSIBILITIES
(a) Provision of Materials:
The Client may provide logos, branding, scripts, or other materials for inclusion.
Compass Video can supply these as part of the project scope at additional cost (e.g., scriptwriting, stock assets, or voiceovers).
Additional services will be quoted and agreed in writing before commencement.
(b) Timely Feedback:
The Client must provide consolidated feedback through Frame.io within agreed timeframes.
If no feedback is received within 14 days of delivery, the project will be deemed approved and closed, and final files will be delivered or archived as appropriate.
(c) Access and Permissions:
The Client is responsible for ensuring access to all required shoot locations on the agreed date(s) and time(s).
Locations must be ready for immediate access at the booked time.
Delays of more than 15 minutes may reduce filming time or incur additional fees.
Travel outside 20km from Brisbane CBD will incur a charge of $3 + GST per kilometre (one-way).
(d) Accuracy and Indemnity:
The Client is responsible for ensuring all materials provided are accurate and free of copyright issues.
The Client agrees to indemnify and hold Compass Video harmless from any claims arising from inaccuracies or third-party infringements.
SECTION 6 – SCROLL STOPPERS SERVICE DEFINITION
The Scroll Stoppers service is a short-form video production package designed for social media use.
Each video represents a finished 30-second deliverable and includes:
One (1) hour of on-location filming within South East Queensland.
Standard editing, captions, licensed music, and one (1) round of revisions.
Additional aspect ratios and advanced motion graphics available as add-ons, charged per video.
Travel outside 20km from Brisbane CBD charged at $3 + GST per kilometre (one-way).
Work outside these inclusions, such as long-form content, multi-location filming, or additional revisions, will be quoted separately.
SECTION 7 – ONGOING SHOOTS AND RETAINERS
Clients booking ongoing or recurring shoots may access discounted rates as specified in their quote or agreement.
Each shoot is treated as a separate booking governed by this Agreement.
Compass Video reserves the right to adjust pricing with reasonable notice for future sessions.
SECTION 8 – GOVERNING LAW AND DISPUTE RESOLUTION
(a) Governing Law:
This Agreement is governed by the laws of Queensland, Australia.
(b) Dispute Resolution:
In the event of a dispute, both parties agree to attempt resolution through good-faith discussions.
If no resolution is reached within 14 days, the dispute shall proceed to mediation in Queensland, with costs shared equally.
SECTION 9 – ENTIRE AGREEMENT
This Agreement constitutes the full understanding between Compass Video and the Client.
It supersedes all prior discussions or agreements.
Any amendments must be made in writing and signed by both parties.
Email correspondence between Compass Video and the Client is considered binding for minor approvals or confirmations.
If any provision is found invalid, the remainder shall remain in full force.
This Agreement is considered accepted and binding upon electronic signature by the Client.
By providing this Agreement, Compass Video confirms its acceptance of all terms and conditions contained herein.
